Terms of Service for NextCore AI

Welcome to NextCore AI! These Terms of Service ("Terms") govern your access to and use of the NextCore AI website, platform, and related services (collectively, the "Service"). By registering for an account or using our Service, you agree to be bound by these Terms.

1. Description of Service

NextCore AI provides an AI-powered conversational platform that allows businesses to automate customer support, handle orders, and manage interactions on third-party messaging platforms, specifically Facebook Messenger and WhatsApp Business.

2. Account Registration and Security

• Eligibility: You must be at least 18 years old to use the Service.
• Accuracy: You agree to provide accurate, current, and complete information during registration.
• Security: You are responsible for safeguarding your account credentials. You must immediately notify us of any unauthorized use of your account. NextCore AI is not liable for any loss or damage arising from your failure to protect your account.

3. Acceptable Use Policy

You agree NOT to use the Service to:

• Violate any local, national, or international laws, including the laws of Bangladesh.
• Send spam, unsolicited messages, or unauthorized promotional content.
• Harass, abuse, or harm other individuals.
• Distribute malware, viruses, or any other malicious code.
• Reverse engineer, decompile, or attempt to extract the source code of the Service.

4. Third-Party Platforms and Compliance

NextCore AI integrates with third-party platforms, primarily Meta Platforms, Inc. (Facebook and WhatsApp) and OpenRouter (AI Models).

• Meta Compliance: You must strictly comply with the WhatsApp Business Messaging Policy and the Facebook Messenger Platform Policies.
• Account Suspension: NextCore AI is not responsible if Meta restricts, bans, or suspends your Facebook Page or WhatsApp Business Account due to policy violations.
• Service Availability: Our Service depends on the availability of these third-party APIs. We are not liable for downtime caused by Meta or our AI model providers.

5. AI Behavior and Limitation of Liability

• AI Unpredictability: You acknowledge that NextCore AI utilizes Large Language Models (LLMs) which generate responses dynamically. While you can train the agent with your business data, AI models may occasionally produce inaccurate, inappropriate, or unintended responses ("hallucinations").
• Supervision: You are responsible for monitoring the AI's conversations. We provide an "Auto Pause" and manual "Human Handoff" feature to allow you to take over conversations when necessary.
• No Liability: NextCore AI shall not be held liable for any loss of revenue, reputation damage, customer disputes, or legal claims arising from messages generated and sent by your AI agent.

6. Billing, Subscriptions, and Credits

• Payments: We accept payments via local gateways (e.g., bKash, Nagad). Payments are subject to manual verification of Transaction IDs.
• Credits: AI agent replies consume "Credits" based on token usage. Subscription plans come with a monthly credit allowance. Unused credits may expire at the end of the billing cycle depending on your plan.
• Refunds: All payments for subscriptions and credit top-ups are non-refundable unless required by law.
• Bring Your Own Key (BYOK): Certain plans allow you to provide your own OpenRouter API key. If you use BYOK, you are solely responsible for the billing and compliance of your own OpenRouter account. NextCore AI will not charge credits for messages processed using your own API key.

7. Intellectual Property

• Your Content: You retain ownership of all data, text, product catalogs, and media assets you upload to train your AI agent. You grant NextCore AI a non-exclusive license to use this data solely to provide the Service to you.
• Our IP: NextCore AI retains all rights, title, and interest in the platform, algorithms, code, and branding.

8. Termination

We reserve the right to suspend or terminate your account at any time, without prior notice, if you breach these Terms, violate Meta's policies, or engage in fraudulent activities.

9. Governing Law

These Terms shall be governed and construed in accordance with the laws of Bangladesh, without regard to its conflict of law provisions.

10. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of any material changes via email or dashboard notification. Continued use of the Service after changes implies acceptance of the new Terms.
